Kenya's VC market is the most active in East Africa, with Nairobi as the centre. Most material rounds at Series A and later involve an offshore holding structure (Delaware or Mauritius) for international investor familiarity and exit considerations.

Documentation conventions

Most venture-backed Kenyan rounds use offshore-parent (Delaware or Mauritius) NVCA-aligned documentation, with Kenyan-law side documents for the operating subsidiary. Pure-Kenyan rounds adapt to Companies Act 2015 mechanics.
