How to fund your startup in Italy

Italy has scaled materially in the last decade, anchored by Milan and Turin and supported by the Startup Act regime (Decreto Crescita 2.0). Public funding via CDP Venture Capital, SIMEST and a range of regional programmes provides the backbone for early-stage Italian tech.

Startup Innovativa status

Italian companies registered as Startup Innovativa under Decreto Crescita 2.0 access reduced incorporation costs, simplified labour rules, the work-for-equity regime, and trigger investor tax credits. Eligibility requires R&D spend, IP ownership or qualified-personnel criteria, capped at five years from incorporation.

Italian R&D tax credits

Italy provides R&D tax credits - currently 10% on R&D activities, 10% on innovation activities and 5% on design (rates and caps subject to revision). Refunded as a credit against tax liability. Patent Box regime additionally provides a 50% super-deduction on costs of qualifying IP development.

CDP Venture Capital

CDP Venture Capital is the Italian state-backed venture investor. Invests directly and as an LP in Italian VC funds across seed, Series A and growth stages. Most active Italian VC funds carry CDP Venture Capital alongside private LPs.

SIMEST and regional financing

SIMEST is the Italian state-owned export finance company; provides subsidised loans and grants for internationalisation and export-related investments. Regional financing vehicles (Veneto Sviluppo, Finlombarda, Lazio Innova, Sviluppumbria) provide additional capital across Italian regions.

Italian VC ecosystem

Italy's VC scene has scaled from a small base in the last decade. Active funds include United Ventures, P101, Italian Founders Fund, Primo Ventures, Indaco, LIFTT, Innogest and Vertis. Cross-border participation from European and US investors common at growth stage.

Venture debt and lending

HSBC Innovation Banking, Kreos Capital and Claret Capital Partners are the main private venture debt providers active in Italy. CDP and SIMEST provide complementary public-backed lending and guarantees. Typically deployed from Series A onwards.

Employee equity schemes in Italy

Italian employee equity is structured around the Startup Innovativa regime, which provides a tax-efficient work-for-equity mechanism and stock-options-as-compensation framework. Outside the regime, options follow standard employment tax treatment.

Work-for-equity (Startup Innovativa)

Italian Startups Innovative can grant shares, quotas, options or financial instruments to employees, advisors and service providers as compensation. The grant is exempt from employment income tax for the recipient - taxation deferred until sale and assessed as a capital gain (26%). Materially more favourable than the standard regime.

Standard stock options (non-Startup Innovativa)

Stock options outside the Startup Innovativa regime are taxed at exercise on the spread as employment income (marginal rates up to ~43% plus regional surcharges and social security). Generally avoided by venture-backed Italian companies in favour of the Startup Innovativa framework.

Phantom shares and SARs

Cash-settled equity-like instruments - the holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout. Used by larger Italian companies that fall outside the Startup Innovativa regime or want simpler cash-based incentives.

Restricted Stock Units (RSUs)

Used at later-stage Italian companies, particularly those with US investors. Taxed as employment income at vesting at marginal rates. Less common in early-stage venture-backed startups than the Startup Innovativa work-for-equity mechanism.

Option and grant valuation

Italian startups typically peg option strike values to the price of the most recent priced round. Independent valuations are useful for material grant programmes - particularly important for Startup Innovativa filings and the work-for-equity regime to support the Agenzia delle Entrate position.

Reporting and Agenzia delle Entrate

Option exercises and Startup Innovativa equity events flow through Italian payroll and reporting to the Agenzia delle Entrate. Annual employer reporting on equity grants and exercises required. Worth aligning between cap-table tool, Italian payroll provider and commercialista at each material equity event.
