Croatian R&D tax incentives

Croatian companies can claim additional deductions on qualifying R&D expenditure (effectively 150-200% deduction depending on R&D classification - fundamental, applied or experimental development). Materially reduces the post-tax cost of R&D for Croatian tech companies.

HBOR (Croatian Bank for Reconstruction and Development)

HBOR is the Croatian state development bank. Provides subsidised loans, guarantees and equity investments via partner programmes. The main public-sector capital provider for Croatian SMEs and innovative companies.

EU PNRR and operational programmes

Croatian EU Recovery and Resilience Plan funding plus operational programmes flow through ministerial agencies and the Croatian Agency for SMEs, Innovations and Investments (HAMAG-BICRO) for R&D, digitalisation and the green transition.

Croatian VC ecosystem

Croatia's VC scene has grown materially in the last five years. Active funds include South Central Ventures, Fil Rouge Capital and Croatian VC. Cross-border participation from European and US investors is common at growth stage, particularly following Infobip and Rimac success stories.

Restricted Stock Units (RSUs)

Used at later-stage Croatian companies, particularly those with US investors or a US parent. Taxed as employment income at vesting at marginal rates. Common at growth-stage companies given the heavy US influence on the Croatian tech ecosystem.

Direct share grants

Direct grants of Croatian d.o.o. or d.d. shares are possible but require notarisation for transfers. Used selectively for senior hires; most Croatian startups prefer option-style or phantom structures.

Croatian startups typically peg option strike values to the price of the most recent priced round. Option exercises flow through Croatian payroll for income tax, contributions and reporting to the Croatian tax authority. Cross-border structuring considerations
