Norway combines deep public R&D funding via Innovation Norway and SkatteFUNN with a growing private VC scene. Oslo anchors the local startup ecosystem, with strong clusters in maritime and offshore tech in Stavanger and ocean-tech across the coast.
SkatteFUNN R&D tax credit
Norwegian R&D tax credit refunding 19% of qualifying R&D expenditure for SMEs (capped at NOK 25M of internal R&D spend and NOK 25M of external R&D contracts per year). Refundable in cash for loss-making companies. One of the most-claimed innovation incentives in Norway and a core part of the local startup funding stack.
Innovation Norway grants and loans
Innovation Norway is the Norwegian state agency for innovation and exports. Provides grants, innovation loans, risk loans (with conditional repayment terms) and equity investments. Often the first institutional capital in Norwegian tech rounds and a recurring later-stage source of growth financing.
Forskningsrådet (Research Council of Norway)
The Research Council of Norway administers research grants across thematic and open calls - including the Brukerstyrt innovasjonsarena (BIA) and Forny programmes for commercialisation of public research. Slow but non-dilutive and a credibility marker for later VC.
Investinor and Argentum
Investinor is the state direct investor in Norwegian growth companies. Argentum is the state fund-of-funds investing in Norwegian and Nordic VC and PE funds. Most active Norwegian VC funds carry Argentum capital in their LP base.
Norwegian VC ecosystem
Norway has a smaller but growing VC scene anchored by Alliance VC, Antler Norway, Skyfall Ventures, Sondo Capital and Idekapital. Cross-border participation from Nordic, European and US investors is common, particularly in maritime tech, offshore, climate and the energy transition.
Venture debt
Less developed than the broader Nordic market but functional. HSBC Innovation Banking, Kreos Capital and Claret Capital Partners are the main venture debt providers active in Norway. Typically deployed against ARR or contracted revenue from Series A onwards.
Employee equity schemes in Norway
Norway's employee option regime was historically taxed at exercise as employment income, which made options unworkable for illiquid private-company employees. Reforms over recent years have allowed some deferral for qualifying startups, but the regime remains less generous than UK EMI or French BSPCE.
Stock option deferral for SMEs
Norwegian SMEs (under specific size and age thresholds) can grant employee options with tax deferral until disposal of the underlying shares, rather than at exercise. The regime tightened in 2022 and 2025 - worth checking eligibility carefully and aligning grants with current rules.
Standard stock options
Options outside the SME deferral regime are taxed at exercise on the spread as employment income, at marginal rates that can exceed 50% including employer social contributions. Less attractive than the SME regime - most venture-backed Norwegian startups structure to qualify where possible.
Restricted Stock Units (RSUs)
Used at later-stage Norwegian startups, particularly those with US investors or a US parent. Taxed as employment income at vesting at marginal rates. Double-trigger structures used at unicorn-stage private companies to avoid taxing employees on illiquid shares.
Phantom shares and SARs
Cash-settled equity-like instruments - the holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout. Still used in Norwegian companies that fall outside the SME option deferral regime.
Option valuation
Norwegian startups typically peg option strike values to the price of the most recent priced round. The SME deferral regime requires fair market value at grant - independent valuations are useful for material grant programmes to support the Skatteetaten (Norwegian Tax Administration) position.
Reporting and Skatteetaten
Option exercises and SME deferral elections flow through Norwegian payroll and the annual tax return. Reporting requirements differ by regime - worth aligning between cap-table tool, Norwegian payroll provider and tax advisor at each material equity event.
