How to fund your startup in Finland

Finland has one of Europe's densest tech ecosystems per capita, anchored by Helsinki and the Slush ecosystem. Business Finland, Finnvera and Tesi sit alongside an active private VC scene and a deep angel network seeded by Nokia, Supercell and Rovio alumni.

Business Finland grants and loans

Business Finland is the Finnish public innovation funder (formerly Tekes). Provides R&D grants, innovation loans and the Young Innovative Companies (YIC) programme - up to €1.25M of combined grants and loans per project for qualifying startups. One of the most generous early-stage public funders in Europe per capita.

Finnvera loans and guarantees

Finnvera is the Finnish state-owned export credit and SME finance company. Provides loans, guarantees and export credits for SMEs, including specific programmes for early-stage growth lending. Often used alongside Business Finland funding to extend non-dilutive runway.

Tesi (Finnish Industry Investment)

Tesi is the Finnish state investment company. Invests directly in Finnish growth companies and as an LP in Finnish and Nordic VC funds. Most active Finnish VC funds carry Tesi capital in their LP base.

Helsinki angel ecosystem

Finland's angel scene is anchored by Nokia, Supercell, Rovio, Wolt and post-IPO operator alumni. FiBAN (Finnish Business Angels Network) is the main angel syndicator. Most structured Finnish seed rounds feature multiple operator-investor tickets typically €25k-500k per investor.

Finnish VC ecosystem

Finland has a tight, high-quality VC scene anchored by Lifeline Ventures, Inventure, Open Ocean Capital, Maki.vc, Sisu Ventures and Icebreaker.vc. Cross-border participation from Nordic, European and US investors is common, particularly in gaming, SaaS, deeptech and the energy transition.

Venture debt

HSBC Innovation Banking, Kreos Capital, Claret Capital Partners and Finnvera are the main venture debt providers active in Finland. Typically deployed against ARR or contracted revenue from Series A onwards.

Employee equity schemes in Finland

Finland's stock option regime is moderately favourable but administratively complex. Standard options are taxed at exercise as employment income; the Personnel Fund and other specific structures can defer taxation in qualifying cases. Most Finnish venture-backed startups now use standard option plans with careful structuring around the exercise mechanics.

Standard stock options

Finnish stock options are taxed at exercise on the spread as employment income (marginal rates up to ~55% including employer contributions). The headline regime is less favourable than UK EMI or French BSPCE; most venture-backed Finnish startups structure plans to minimise the tax-at-exercise hit through careful timing and grant pricing.

Personnel Fund (Henkilöstörahasto)

Finland's Personnel Fund mechanism allows tax-deferred employee participation in profits and equity, taxed only on withdrawal. Used selectively at mid-to-late-stage Finnish companies and traditional industrials, less common in early-stage VC-backed startups.

Restricted Stock Units (RSUs)

Used at later-stage Finnish startups, particularly those with US investors or a US parent. Taxed as employment income at vesting at marginal rates. Double-trigger structures used at unicorn-stage private companies to avoid taxing employees on illiquid shares.

Phantom shares and SARs

Cash-settled equity-like instruments - the holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout. Used by Finnish companies wanting to avoid the option-tax-at-exercise trap.

Option valuation

Finnish startups typically peg option strike values to the price of the most recent priced round. Independent valuations are useful for material grant programmes to support the Vero (Finnish Tax Administration) position on the fair-market-value spread at exercise.

Reporting and Vero

Option exercises flow through Finnish payroll for tax and TyEL (pension) contributions. Annual employer reporting on option exercises to Vero required. Worth aligning between cap-table tool, Finnish payroll provider and tax advisor at each material equity event.
