How to fund your startup in Poland

Poland has the largest tech ecosystem in Central and Eastern Europe, anchored by Warsaw, Krakow, Wroclaw and the Tri-City. Public funding via PFR Ventures and NCBR sits alongside a maturing private VC scene and one of Europe's most competitive talent pools.

Polish R&D tax relief

Polish companies can deduct 100-200% of qualifying R&D expenditure against corporate income tax, with additional bonuses for SMEs and certain R&D personnel. Stacks with the IP Box regime. Materially reduces the effective cost of R&D for Polish tech companies.

IP Box

Polish IP Box regime applies a 5% effective corporate income tax rate to qualifying IP-derived income (versus 19% standard). Available to companies generating income from patented IP and qualified software. Materially valuable for SaaS and tech companies at scale.

PFR Ventures and BGK

PFR Ventures is the Polish Development Fund's venture investment arm, operating multiple co-investment programmes alongside private VCs. Bank Gospodarstwa Krajowego (BGK) provides public-sector lending and guarantees. Most active Polish VCs carry PFR capital.

NCBR R&D grants

NCBR (National Centre for Research and Development) administers R&D grants through programmes including FENG, FENGSME and bilateral cooperation funds. Funding rates of 35-70% on qualifying R&D project costs depending on programme and company size.

Polish VC ecosystem

Poland's VC scene has matured significantly in the last decade. Active funds include Inovo, OTB Ventures, Movens, Market One Capital, EEC Ventures and Tar Heel Capital Pathfinder. Cross-border participation from European and US investors is common at growth stage.

Venture debt and growth lending

Less developed than Western European markets but growing. BGK provides public-backed lending; private venture debt operates via European cross-border providers. Typically deployed against ARR or contracted revenue from Series A onwards.

Employee equity schemes in Poland

Poland's employee equity regime has improved gradually, with a 2022 reform reducing taxation on options for qualifying startups. Outside the favourable regime, options remain taxed as employment income at exercise. Phantom and virtual share schemes are still widely used.

Stock options (post-2022 reform)

Polish stock options in qualifying simple joint-stock companies (PSA / Prosta Spółka Akcyjna) can benefit from preferential tax treatment - taxed at sale rather than at exercise, with capital gains treatment (19% flat). Eligibility requires PSA company form and qualifying conditions.

Standard stock options

Options outside the PSA regime in Polish Sp. z o.o. companies are taxed at exercise on the spread as employment income (up to ~36% plus ZUS social security). Less attractive than the PSA regime; many Polish startups restructure to PSA at the seed stage to access better treatment.

Phantom shares and SARs

Cash-settled equity-like instruments remain widely used in Polish startups, particularly those outside the PSA regime. The holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout.

Restricted Stock Units (RSUs)

Used at later-stage Polish companies, particularly those with US investors or a US parent. Taxed as employment income at vesting at marginal rates. Double-trigger structures used at growth-stage private companies to avoid taxing employees on illiquid shares.

Option valuation

Polish startups typically peg option strike values to the price of the most recent priced round. Independent valuations are useful for material grant programmes - particularly important for the PSA preferential regime to support the position on fair market value at grant.

Reporting and Urząd Skarbowy

Option grants and exercises flow through Polish payroll for PIT (personal income tax) and ZUS reporting. PSA-regime equity events require specific notification. Worth aligning between cap-table tool, Polish payroll provider and accountant at each material equity event.
