Fractional CFO services in Kenya

Kenya is East Africa's leading tech hub, with Nairobi's Westlands and Kilimani neighbourhoods anchoring a startup scene built on the M-Pesa mobile-money infrastructure and a growing cohort of agritech, logistics and B2B commerce companies.

Kenyan scaleups including M-KOPA, Twiga Foods, Wasoko, Apollo Agriculture, Pula and Sun King have raised large USD-denominated rounds, establishing Nairobi as a credible East African base for regional and global investor capital.

We provide fractional CFO services to Kenyan startups from seed to Series B+ - financial modelling, FP&A, board packs, fundraise prep, KPI tracking and monthly close.

In Kenya we work with companies operating in Nairobi, and beyond.

How to fund your startup in Kenya

Kenya has the largest tech ecosystem in East Africa, anchored by Nairobi. M-Pesa, Twiga Foods, Cellulant and Jumia alumni drive the local scene; cross-border participation from US, European and pan-African investors dominates growth-stage rounds.

Kenya Investment Authority and KICD

Kenya Investment Authority (KenInvest) provides investment promotion services, regulatory facilitation and sector-specific support for Kenyan SMEs and foreign investors. Materially relevant for tech and innovation-focused incentives.

Konza Technopolis

Konza Technopolis is Kenya's flagship Special Economic Zone for technology and innovation. Provides infrastructure, tax incentives and licensing for qualifying tech companies. Long-running build but increasingly relevant for growth-stage Kenyan tech operations.

Kenyan VC ecosystem

Active funds include Novastar Ventures, TLcom Capital, Norrsken22, DOB Equity, Catalyst Fund, Madica and Antler Nairobi. Cross-border participation from US, European and pan-African investors heavy at growth stage.

Nairobi angel ecosystem

Kenya has the most active angel scene in East Africa, driven by M-Pesa, Twiga Foods, Cellulant, Sokowatch, Jumia and other Kenyan tech alumni. Viktoria Ventures, Angel Investment Network Kenya and iHub coordinate structured angel investment.

Sector-specific funding

Various sector-specific Kenyan public-private programmes (Agricultural Sector Network, Vision 2030 sector funds) provide non-VC capital for qualifying businesses. Worth checking sector eligibility.

Cross-border venture debt

Kenyan venture debt is emerging. Cross-border providers (Lendable, Cauris, Partners for Growth) operate via Africa-focused lending. Local banks (KCB, Equity, Co-op Bank) provide standard SME working capital.

Employee equity schemes in Kenya

Kenyan employee equity is administratively heavy. Most venture-backed Kenyan startups operate via an offshore holding entity (Delaware or Mauritius) for ESOP simplicity; phantom and virtual schemes are common in pure-Kenyan structures.

Standard stock options

Kenyan stock options are typically taxed at exercise as employment income at marginal rates (up to 30% PAYE). Less favourable than UK or Western European regimes; structuring around grant pricing matters for the employee outcome.

Offshore (Delaware) ESOPs

Most venture-backed Kenyan startups operate via a Delaware (or Mauritius) holding parent over Kenyan operating subsidiaries. ESOPs at the offshore parent benefit from cleaner cap-table mechanics; Kenyan-resident employees still face Kenyan tax on exercise under source rules.

Phantom shares and SARs

Cash-settled equity-like instruments are widely used in Kenyan startups. The holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout.

Restricted Stock Units (RSUs)

Used at later-stage Kenyan companies, particularly Delaware-parent structures with US investors. Taxed as employment income at vesting at marginal rates for Kenyan-resident employees.

Option valuation

Kenyan startups typically peg option strike values to the price of the most recent priced round (often in USD via the offshore parent). Independent valuations support the KRA (Kenya Revenue Authority) position on fair market value.

Reporting and KRA

Option exercises flow through Kenyan payroll for PAYE and NSSF / NHIF contributions. Annual employer reporting required.

Startup finance software stack for Kenyan startups

The finance stack we recommend most often for Kenyan tech startups. Local accounting platforms cover regulatory complexity; the major Kenyan banks and M-Pesa-led mobile money dominate banking and treasury.

Accounting

  • Zoho Books - common at Kenyan SMEs.
  • QuickBooks Online - alternative widely used at Kenyan accounting firms.
  • Xero - for internationally-facing Kenyan companies.
  • NetSuite - for late-stage companies needing multi-entity consolidation.

Payroll

  • Local Kenyan payroll providers (SeamlessHR, WorkPay) - common at SMEs.
  • Zoho People - alternative with strong African coverage.
  • Deel or Remote - for hiring contractors and staff outside Kenya.

Business banking

Cap table & equity admin

  • Carta - for Kenyan venture-backed companies (typically with Delaware parent).
  • Pulley - strong alternative.
  • Ledgy - alternative with cross-border coverage.

Expenses & corporate cards

  • Brex or Ramp - for Kenyan founders with US C-corp parent.
  • Bento Africa - African-built spend management platform.
  • Local Kenyan corporate cards via KCB or Equity Bank.

Looking for a fractional CFO in Kenya?

Don't waste time with old-school advisors. You deserve a startup CFO that truly understands tech.

Fractional CFO services vs accounting in Kenya

Kenyan startups typically work with an external accountant or ICPAK-registered firm for tax and statutory compliance. The role is heavy on KRA filings - but separate from a fractional CFO.

Kenyan accountant (ICPAK)

Compliance and statutory filings. Output is the annual accounts, KRA tax filings and Companies Registry submissions.

  • Prepares and files the annual statutory accounts with the Registrar of Companies.
  • Files corporate income tax and VAT returns with KRA.
  • Handles PAYE, NSSF and NHIF for payroll.
  • Runs the Kenyan payroll cycle and iTax reporting.
  • Files investment-related and sector-specific tax incentive applications.
  • Backward-looking: works from closed-month numbers, not the forward plan.
  • Engaged annually for compliance plus monthly bookkeeping and payroll.
  • Audit is required above certain size thresholds.
Flow fractional CFO

Financial modelling, FP&A and fundraise prep. Output is the financial model, the monthly board pack and the investor data room.

  • Builds a financial model linking revenue, headcount, unit economics and runway.
  • Sets up the monthly FP&A cycle: budget, forecast vs actual, variance analysis.
  • Puts together the monthly board pack - P&L, cash, KPIs and forward outlook.
  • Builds a 13-week cash flow forecast covering payroll, VAT and supplier timing.
  • Prepares the fundraise: investor model, deck financials, data room and diligence prep.
  • Keeps the cap table tidy and coordinates ESOP grants across Kenyan and offshore-parent structures.
  • Reports on the KPIs that move the business - ARR, gross margin, CAC payback, retention.
  • Pressure tests hiring, pricing and big spend decisions against the model before the founder commits.

No hidden costs, no complicated long-term contracts. We understand how important flexibility is for Kenyan startups.
