How to fund your startup in New Zealand

New Zealand has a small but well-organised tech ecosystem, anchored by Auckland, Wellington and Christchurch. Public funding via Callaghan Innovation and NZ Growth Capital Partners sits alongside a private VC scene helped by Xero, Rocket Lab and Pushpay alumni.

R&D Tax Incentive (RDTI)

New Zealand's R&D Tax Incentive provides a 15% tax credit on qualifying R&D expenditure, refundable for loss-making companies subject to thresholds. Materially less generous than the Australian R&D Tax Incentive but still a core part of the NZ tech funding stack.

Callaghan Innovation grants

Callaghan Innovation is New Zealand's innovation agency. Provides R&D grants (Project Grants, Getting Started Grants), R&D Loans, growth services and Technology Incubator funding. Often the first non-VC institutional capital in NZ tech rounds.

NZ Growth Capital Partners

NZ Growth Capital Partners (formerly NZVIF) operates the Aspire programme for early-stage equity investment and the Elevate fund-of-funds investing in NZ VC funds. Anchor public investor in many active NZ VC funds.

New Zealand VC ecosystem

NZ's VC scene is small but well-organised. Active funds include Movac, GD1 (Global from Day 1), Icehouse Ventures, K1W1, Punakaiki Fund and Pacific Channel. Cross-border participation from Australian, US and Asian investors common at growth stage.

Angel networks

Angel Association New Zealand coordinates the NZ angel community (Ice Angels, Enterprise Angels, AngelHQ, Manawatu Investment Group). Tickets typically NZD 25k-250k per investor; structured rounds often syndicated across multiple networks.

Venture debt

Limited domestic venture debt market. Cross-border providers (Partners for Growth, Kreos Capital, Claret Capital Partners) operate in New Zealand via Australian or APAC arms. Typically deployed against ARR or contracted revenue from Series A onwards.

Employee equity schemes in New Zealand

New Zealand's employee share scheme regime is workable but less developed than the Australian ESS startup concession. Standard options are taxed as employment income; phantom and direct-share grant alternatives are also used.

Standard employee share schemes

NZ employee share scheme benefits are typically taxed as employment income at the share value at the relevant taxing event (typically vesting or exercise). Less favourable than UK EMI or French BSPCE; structuring around grant pricing matters for the employee outcome.

Exempt share scheme threshold

Specific exemptions can apply where share benefits are below de minimis thresholds or where the share scheme meets specific 'widely held' tax provisions. Useful for broad-based employee share offers but less applicable to typical venture-backed option grants.

Phantom shares and SARs

Cash-settled equity-like instruments - the holder receives a cash bonus equal to the value of a notional option at exit. Taxed as employment income at payout. Used in NZ startups to avoid the taxed-at-vesting complications of real options.

Restricted Stock Units (RSUs)

Used at later-stage NZ companies and post-IPO. Taxed as employment income at vesting at marginal rates. Common at growth-stage companies with US investors or international parents.

Option valuation

NZ startups typically peg option strike values to the price of the most recent priced round. Independent valuations are useful for material grant programmes to support the IRD (Inland Revenue) position on fair market value at vesting/exercise.

Reporting and IRD

Employee share scheme benefits flow through NZ PAYE for income tax and KiwiSaver employer contributions where applicable. Annual ESS reporting required from the employer. Worth aligning between cap-table tool, NZ payroll provider and tax advisor.
