The Netherlands has one of the most active VC markets in continental Europe, with Amsterdam as the centre and dedicated clusters in Eindhoven (deeptech) and Utrecht (life sciences). Round documentation broadly aligns with NVP industry conventions and standard European VC practice.
NVP-aligned documentation
The NVP (Dutch private equity and venture capital association) coordinates industry conventions. Dutch venture rounds typically use NVP-aligned documentation tailored for Dutch BV mechanics. Notarisation is mandatory for share issues - a recurring closing-day cost.
Convertible loans and SAFEs
Convertible loan notes (converteerbare lening) and pre-priced equity instruments are the standard formats in the Netherlands. SAFEs are used occasionally where the lead investor is US-based but are less universal than in the US. Conversion typically at the next round at a discount or capped valuation.
Round structure norms
Priced rounds use 1x non-participating liquidation preference with broad-based weighted average anti-dilution. Founder vesting (4-year, 1-year cliff) is standard. Cap tables for BVs are not public, but share movements appear in the KvK (Chamber of Commerce) registry via UBO and director changes.
Foreign investment review (Vifo Act)
The Wet veiligheidstoets investeringen, fusies en overnames (Vifo Act, in force from 2023) requires pre-completion notification for investors taking material stakes in Dutch companies operating in sensitive technology sectors - defence, dual-use, quantum, semiconductors, AI. Adds 8 weeks to 6 months to closing where in scope.
Notarised closings
Share issues and transfers in Dutch BVs require a notarial deed (notariële akte) executed before a Dutch civil-law notary. Closings are therefore notary-driven events with associated formalities and fees. Standard practice and well-understood by Dutch counsel.

What if not VC? Non-equity funding in the Netherlands
The Netherlands has one of the deepest non-dilutive funding stacks in Europe - between WBSO, the Innovation Credit, Invest-NL and the regional development companies, Dutch startups can run for 12-18 months with substantial public-sector support before signing a VC term sheet.
WBSO R&D wage tax credit
Refunds 32% (40% for startups) of qualifying R&D personnel costs through a payroll tax reduction. The most-claimed innovation incentive in the Netherlands and the largest single source of non-dilutive cash for most early-stage Dutch tech companies.
Innovation Credit (Innovatiekrediet)
Government-funded conditional loan covering up to 35-45% of qualifying technical or clinical development project costs (€150k–€10M). Repayable only on commercial success. Non-dilutive but project-execution dependent.
EU funding access
Dutch companies have full access to Horizon Europe programmes - EIC Accelerator grants (up to €2.5M), EIC Pathfinder, Eurostars, EUREKA and others. Slow but materially valuable for deeptech, climate and life-science companies that can wait the 6-12 month process.
Crowdfunding
Symbid, Oneplanetcrowd and several specialist platforms operate in the Netherlands. Used most often by consumer brands, sustainability-focused businesses and impact-driven companies to combine capital with community.
Venture debt
