Capital raising services in Ireland

Ireland's VC ecosystem has grown significantly in the last decade, with Enterprise Ireland co-investing alongside an expanding base of international funds that recognise the country's talent pool and transatlantic positioning.

Companies such as Intercom, Wayflyer and Manna Drone Delivery have each raised multi-million growth rounds from global investors, validating Ireland as a credible location for internationally ambitious startups beyond fintech.

We advise mid- to late-stage Irish startups on raising growth capital on the best terms available. Our capital raising work combines thorough pitch deck preparation, rigorous financial model builds and an extensive VC investor network spanning Enterprise Ireland co-investors, UK funds and US-based growth equity. We manage the process end-to-end so founders aren't distracted at a critical stage of their business.

Raising venture capital in Ireland

Ireland's VC market is small but well-organised - Enterprise Ireland anchors most seed rounds, a handful of dedicated Irish funds operate alongside UK and continental VCs, and round documentation is broadly aligned with UK and BVCA conventions.

Documentation conventions

Irish VC rounds typically use UK-style documentation aligned with BVCA model documents, adapted for Irish company law (Companies Act 2014). The Irish Venture Capital Association coordinates industry standards but does not publish a single universal template.

Pre-priced rounds

Convertible loan notes are the standard pre-priced instrument in Ireland - conversion at the next priced round at a discount or capped valuation. SAFEs and ASAs are used less commonly, mostly when the lead investor is US- or UK-based and brings their preferred template.

Enterprise Ireland co-investment

Enterprise Ireland co-invests alongside private VCs at the HPSU stage. EI's preference shares, valuation expectations and information rights are well-defined and routinely accommodated in the round documents. Most Irish seed rounds either feature EI directly or are structured to remain EI-compatible.

Round structure norms

Priced rounds use 1x non-participating liquidation preference with broad-based weighted average anti-dilution. Founder vesting (4-year, 1-year cliff) is standard. Where Enterprise Ireland is in the round, additional EI-specific information and reporting rights apply.

Investment Screening Act

The Screening of Third Country Transactions Act 2023 (in force from 2024) introduced a mandatory notification regime for non-EU investors taking material stakes in Irish companies in sensitive sectors - defence, dual-use, critical infrastructure, AI, biotech. Adds notification time and conditions to scoped transactions.

Closing mechanics

Closings are typically same-day signing and funding with documents executed via DocuSign. Companies House Ireland (CRO) filings for share issues and resolution amendments are submitted shortly after close. Stamp duty (1%) applies to share transfers but not to newly issued shares.

What if not VC? Non-equity funding in Ireland

Ireland's non-dilutive stack is one of the strongest per-capita in Europe - Enterprise Ireland, the 30% R&D credit, the Knowledge Development Box and competitive grant calls give Irish startups substantial runway extension options without taking equity dilution.

Enterprise Ireland equity and grants

Enterprise Ireland supports indigenous Irish companies through HPSU equity investment, matched grants, Innovation Vouchers and competitive sector-specific calls. Often the single largest source of state-backed capital for Irish tech startups.

Irish R&D tax credit

30% refund on qualifying R&D expenditure (rate increased from 25% to 30% in 2024), paid in cash over three instalments to SMEs. Combined with the 12.5% headline corporation tax rate, makes Ireland one of the most R&D-friendly tax regimes in Europe.

Knowledge Development Box

6.25% effective tax rate on qualifying IP-derived income from patents and copyrighted software developed in Ireland. Long-term cash benefit for companies with substantial Irish R&D activity and revenue-generating IP. Application is administrative-heavy but materially valuable at scale.

Halo Business Angel Network

HBAN is Ireland's main angel investor network, syndicating tickets typically €25k–€500k+ across Irish early-stage companies. Used as the primary pre-VC capital source for most structured Irish angel rounds.

Future Growth Loan Scheme

Government-backed lending operated by the Strategic Banking Corporation of Ireland (SBCI) via participating commercial banks. Provides longer-tenor unsecured loans at favourable rates. Used to fund growth, capex and working capital without dilution.

EU funding access

Irish companies have full access to EU funding programmes - Horizon Europe (including EIC Accelerator grants up to €2.5M), EIC Pathfinder, Eurostars and others. Slow to draw down (6-12 months from application) but materially valuable for deeptech, climate and life-science companies.
