Nigerian M&A involves significant cross-border, regulatory and FX-structuring complexity. Most material Nigerian tech exits involve offshore holding entities; FCCPC merger control and the SEC oversight create the regulatory framework.
Completion accounts dominate
Nigerian private M&A is predominantly completion-accounts based, with detailed working-capital target and adjustment mechanics. Locked-box has limited adoption. FX volatility adds complexity to cash adjustments.
W&I insurance is growing
