Completion accounts dominate
Indian private M&A is predominantly completion-accounts based with detailed working-capital adjustments. Locked-box has limited adoption. Closing-day mechanics typically include estimated-then-adjusted purchase price subject to true-up 60-120 days after close.
W&I insurance penetration is growing
Warranty & indemnity insurance is increasingly used in Indian deals above roughly INR 100Cr (~USD 12M). Premiums (2-3% of cover) typically split between buyer and seller. Coverage and exclusions tailored to Indian law and standard tax/regulatory risks.
FDI and FEMA review

Indian individuals are taxed on share disposal gains: 10% LTCG (above INR 1L threshold) on listed equity shares held over 12 months; 20% LTCG with indexation on unlisted shares held over 24 months; short-term gains at marginal rates. Indirect transfer rules
India's indirect transfer rules tax sales of foreign shares where they derive substantial value (>50%) from Indian assets. Material in cross-border exits where the holding structure sits outside India. Requires careful pre-sale planning around source rules, tax treaty positions and structuring.
Merger control (CCI)
Competition Commission of India reviews transactions above asset and turnover thresholds (currently INR 2000Cr Indian assets or INR 6000Cr Indian turnover, with global thresholds also relevant). Most pure-tech tuck-in deals don't trigger; large strategic deals do.
